Terms and Conditions for the Microsoft Trade-In Promotion (Promotion)

  1. By accepting these terms and conditions (Promotion Terms), Participants agree to be bound by the Promotion Terms.

  2. This Promotion is open to individuals over the age of 18, resident in the United Kingdom and the European Economic Area (Participant). This Promotion is not open to employees of Microsoft, Opia Limited, or manufacturers of Qualifying Products (as defined in Table 1 below), and their immediate families, or their subsidiaries, divisions, affiliates or anyone professionally connected with the Promotion. Participants are permitted to make a maximum of two (2) Claims (as defined in Condition 8.3 below) and send in two (2) separate Trade-In Devices (as defined in Table 2 below) in respect of two (2) separate Qualifying Products (as defined in Table 1 below) pre-ordered and purchased.

(each the Participating Retailer).

  1. This Promotion shall operate in the UK, France, Germany, Spain, Italy and the Netherlands, each a Territory and together the Territories.

  2. This Promotion shall operate between the 1st October 2020 (00:01 - local time) and 31st October 2020 (23:59 - local time) (Pre-Order Period).

  3. The Promoter: Microsoft UK, Microsoft Campus, Thames Valley Park, Reading, RG6 1WG, UNITED KINGDOM (please do not send any Claim, Trade-In Devices or promotion related correspondence to this address as it will not be processed).

  4. Opia Limited (of Priory House, Pilgrims Court, Sydenham Road, Guildford, Surrey GU1 3RX UNITED KINGDOM) will run the Promotion in conjunction with the Promoter. Please contact Opia Limited by email or telephone using the details in Condition 28 if you have any queries or complaints regarding the Promotion.

  5. To enter the Promotion via the Participating Retailer, Participants must:

    1. Place an order for (Pre-order) or purchase a new (i.e. not second hand, ex-display or refurbished) Qualifying Product (as shown at Table 1 below) via the Participating Retailer within the Pre-Order Period;
    2. Subject to compliance with Condition 8.1 above and Condition 8.4 below, and the Participant paying in full for the Qualifying Product (payment will be taken using the debit/credit card details provided upon purchase when the Qualifying Product is dispatched to the Participant's selected delivery address), the Participant will be eligible to claim a variable cashback reward (Reward) in accordance with Table 2 below upon trading in a qualifying device (Trade-In Device) as defined in Condition 9 below;
    3. Participants must then visit https://tradeuptosurface.com/tradeup, which is operated by the third party Opia Limited, and provide the requested information including a valid proof of purchase (both pre-order and shipment confirmation for the Qualifying Product will be required) in order to register their Qualifying Product and make an application for a Reward (Claim). Claims must be submitted within thirty (30) days of the date of delivery to the Participant of the relevant Qualifying Product (Claim Period). For the avoidance of doubt the date of delivery of the Qualifying Product (as stated on the applicable tracking information) shall be considered day one (1). Claims made outside of the Claim Period shall be considered invalid and ineligible for a Reward.
    4. If a Participant withdraws from the contract (for example, by cancelling their order of the Qualifying Product or returning it at any time), unless due to a fault of the Promoter or the Qualifying Product or under a warranty claim, the Participant will no longer be eligible to enter the Promotion and receive a Reward.
    5. Qualifying Products are subject to Participating Retailer availability.

  1. Upon pre-ordering and purchasing a Qualifying Product in accordance with the requirements of Condition 6 above, and subsequently submitting an eligible Trade-In Device (as described in Table 2 above) and presuming full compliance with the Promotion Terms, Participants shall be eligible to receive a Reward dependant on the submitted Trade-In Device as reflected in Table 2 above.

  2. The Promoter shall only deliver a Qualifying Product to a Participant's address if such address is in one of the Territories, and the Promoter shall bear the costs of such delivery.

  3. Participants must ensure the Trade-In Device has been formatted and personal data has been erased before submitting it.

  4. To the extent permitted by applicable law, the Promoter accepts no responsibility for Claims not successfully completed due to a technical fault, technical malfunction, computer hardware or software failure, satellite, network or server failure of any kind, not caused by any act or event outside of the Promoter's reasonable control. Subject to Condition 16 below, a Claim must be fully completed to be eligible for Reward and if a Participant fails to provide all required information as part of their Claim, their Claim will be rejected.

  5. Upon submission and approval of the Claim, Participants will receive an email from Opia Limited within 2 working days of Claim submission confirming approval (Claim Approval) and providing instructions on how to ship their Trade-In Device. Participants must ship their TradeIn Device as instructed within 15 calendar days of the date of Claim Approval.

  6. Participants shall receive a pre-paid label to ship their Trade-In Device to Opia Limited.

  7. If an incomplete Claim form or a non-valid proof of purchase or pre-order is submitted by the Participant a notification email will be sent providing the opportunity for the Participant to submit the required items within seven (7) working days of the email being sent. If no reply is received within said timeframe then the Claim will be deemed invalid and rejected and the Participant shall not be eligible to receive that Reward.

  8. Upon the Trade-In Device being validated by the Promoter, the Participant shall receive an email confirmation of payment of the relevant Reward via bank transfer to the bank account nominated during the Claim process. Such payment will be made within 14 calendar days of said email confirmation.

  9. Each Reward is as stated and is non-exchangeable and non-transferable. There is no alternative to the Reward in whole or in part.

  10. Should the Trade-In Device fail to meet the Acceptance Criteria, the Trade-In Device will be returned or recycled free of charge to the Participant. The Participant shall be emailed and given seven (7) working days from the date of such email to choose the preferable option, if no response is received in this time frame then the Trade-In Device shall be recycled free of charge.

  11. To the extent permitted by applicable law, the Promoter accepts no responsibility for lost or confidential data on the Trade-in Device. Upon receipt of the Trade-in Device all data on it will be destroyed. The Promoter is unable to retrieve any data once destroyed. Deletion of all confidential data and information, which is subject to applicable data protection legislation, is the sole responsibility of the Participant.

  12. The Promoter cannot accept liability for any Trade-in Devices that are lost, damaged or destroyed in transit, as the risk of the Trade-In Devices will pass to the Promoter as of delivery to the Promoter's premises. When available it is recommended that the Participant utilises an insured postal service. The Promoter is unable to accept delivery by hand.

  13. Claims must only be submitted by the Participant (or the Participant's legal guardian). In no circumstances will Claims submitted by any third party on behalf of the Participant (except the Participant's legal guardian)be accepted. Any such Claims will be rejected, and the Participant shall not be permitted to submit any further Claims.

  14. The Promoter may disqualify Claims that do not comply with these Promotion Terms.

  15. The Promoter shall have the right to undertake all such action as is necessary to protect itself against fraudulent or invalid Claims including, without limitation, to require further verification from a Participant of proof of purchase, as well as the identity and other relevant details of a Participant.

  16. If a Participant returns their Qualifying Product after submitting a Claim due to no fault of the Promoter or defect in the Qualifying Product, the Claim will be deemed invalid and cancelled. The Trade-In Device will be returned or recycled in accordance with Condition 19. The Promoter and each Participating Retailer reserves the right to monitor returns of the Participant's Qualifying Product purchased at the Participating Retailer.

  17. The Promoter reserves the right to modify, cancel, terminate or suspend the Promotion in whole or in part if the Promotion is not capable of being conducted as specified within these Promotion Terms due to reasons outside of the Promoter's control or in the event of a virus, a computer bug or unauthorised human intervention or any other cause that is beyond the reasonable control of the Promoter that could corrupt or affect the administration, security, impartiality or normal course of the Promotion. The Promoter will promptly provide the Participants with all the relevant information and will allow the Participants to return the Qualifying Products and receive a full refund.

  18. If caused by events outside of the reasonable control of the Promoter, the Promoter will not be responsible for any damage, loss or injury resulting from Participants' entry into the Promotion or their acceptance and/or use of a Reward, or for technical, hardware or software failures, lost, faulty or unavailable network connections or difficulties of any kind that may limit or prohibit their ability to participate in the Promotion. The Promoter will not be responsible for any lost, damaged, defaced, incomplete, illegible or otherwise unreadable Claims due to the fault of the Participant. Proof of posting is not proof of receipt by the Promoter of any entries. Nothing in these Promotion Terms shall in any way limit the Promoter's liability for death or personal injury caused by its negligence or for any other matter where liability may not as a matter of law be limited (including claims based on the German Product Liability Act).

  1. All the Promoter's decisions in relation to the Promotion are final and the Promoter will not enter into any correspondence with Participants.

  2. This Promotion shall be governed by the law of England and Wales. As a consumer, you will benefit from any mandatory provisions of the law of the country in which you are resident. Nothing in these terms and conditions, including this Condition 30, affects your rights as a consumer to rely on such mandatory provisions of local law. If you do not live in England or Wales, you will be able to bring a claim in the courts of your country of residence. If you are not a consumer, the courts of England and Wales shall have exclusive jurisdiction to hear any dispute or claim arising in association with the Promotion or these Promotion Terms.
